We would like to inform you that process of merger of companies SYNTHOS Kralupy a.s. and SYNTHOS PBR s.r.o. has been started. The participating companies have drawn up a Project of merger, to be published in the collection of deeds, related to participating companies, of the Commercial Register of the Municipal Court in Prague.
The reasons for merger are optimalization of group structure and processes and reduction of costs by simplification of corporate governance and structure of Czech companies of SYNTHOS group and reduction of the administrative burden caused by the existence of the PBR as a separate company.
As a result of the merger, SYNTHOS Kralupy a.s. shall become successor company. All assets and commitments of SYNTHOS PBR s.r.o. shall be transferred to SYNTHOS Kralupy a.s.
The merger is expected to take effect on December 1, 2025, based on the entry of the merger in the Commercial Register (Commercial Register maintained by the Municipal Court in Prague).
This intragroup merger shall not have any impact on business relations and existing contracts with business partners of both companies participating on merger.
Business partners of SYNTHOS PBR s.r.o., as a dissolving company, will be informed in advance about the details and changes resulting from the merger.
