COMMUNICATION FROM SYNTHOS S.A.
Synthos S.A. announces that on 18 December 2025 it signed an agreement with ORLEN S.A., under which it sells 100% of shares in the company S54, which is building a new butadiene extraction unit in Płock. The transaction value is approximately PLN 692 million. The agreement also includes a package of accompanying contracts.
Cooperation between Synthos and ORLEN on the butadiene unit began several years ago as part of the petrochemical development program in Płock. The current agreement is part of the initiated investment reorganization process. Although the sale agreement results from the need to find a compromise solution due to ongoing delays in the Olefins III project, it creates a stable framework for further business cooperation between the two companies.
“As a long-term business partner of ORLEN, we have signed an agreement which – considering the circumstances – is the most beneficial solution for both parties and strengthens the foundations of long-term partnership.” said Zbigniew Warmuz, CEO of Synthos S.A.
At the same time, the parties concluded a number of accompanying agreements regulating commercial relations, adapted – including in terms of legal status – to the current situation and the new schedule of the New Chemistry investment.
